Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Troll Tech Ltd and its subsidiary Troll Tech AI Solutions Ltd. By using our Services, you agree to be bound by these Terms.

1. Definitions and Interpretation

In these Terms:

  • "Troll Tech Ltd" means the parent company registered in England and Wales, providing general technology services
  • "Troll Tech AI Solutions Ltd" means the subsidiary company registered in England and Wales, providing AI voice agent services
  • "Company", "we", "us", or "our" refers collectively to Troll Tech Ltd and Troll Tech AI Solutions Ltd, or individually as context requires
  • "Services" means all services provided by either company, including but not limited to voice agent services, software development, and technology solutions
  • "AI Services" means specifically the voice agent services provided by Troll Tech AI Solutions Ltd, including inbound and outbound call handling
  • "Voice Agents" means our AI-powered voice communication systems
  • "Client" means any business or individual who subscribes to our Services
  • "End User" means any individual who interacts with our Voice Agents
  • "UK GDPR" means the UK General Data Protection Regulation
  • "PECR" means the Privacy and Electronic Communications Regulations 2003

These Terms are governed by the laws of England and Wales.

2. Services Provided

2.1 AI Services by Troll Tech AI Solutions Ltd

Troll Tech AI Solutions Ltd provides the following AI-powered voice agent services:

2.1.1 Inbound Voice Agent Services
  • Base package includes 500 minutes per month
  • Fair usage policy applies to the base package
  • Additional minutes available as add-on packages
  • Service availability subject to technical limitations
2.1.2 Outbound Voice Agent Services
  • Charged on a per-minute basis
  • Minimum call duration charges may apply
  • Campaign management tools provided
  • Subject to regulatory compliance requirements (see Section 3)

2.2 General Technology Services by Troll Tech Ltd

Troll Tech Ltd provides software development, consulting, and other technology services as separately agreed.

2.3 Service Limitations

Our Voice Agents use artificial intelligence technology. While we strive for accuracy and reliability, we cannot guarantee that the AI Services will:

  • Be error-free or uninterrupted
  • Meet all specific requirements or expectations
  • Result in successful business outcomes

3. Client Responsibilities and Compliance

3.1 General Responsibilities

The Client warrants and undertakes that:

  • All use of the Services will comply with applicable laws and regulations
  • They will not use the Services for any unlawful or fraudulent purpose
  • They will provide accurate and complete information to us

3.2 Outbound Call Compliance (Critical - AI Services)

For all outbound calling services provided by Troll Tech AI Solutions Ltd, the Client is solely responsible for ensuring compliance with all applicable UK laws and regulations, including but not limited to:

  • UK GDPR Compliance: Ensuring lawful basis for processing personal data
  • PECR Compliance: Obtaining appropriate consent for marketing calls
  • TPS/CTPS Checking: Verifying numbers against Telephone/Corporate Preference Service registers
  • Call Recording: Obtaining consent and providing appropriate notices
  • Calling Hours: Adhering to acceptable calling times
  • Caller Identification: Ensuring accurate caller ID information

The Client acknowledges that failure to comply with these requirements may result in:

  • Regulatory fines and penalties
  • Criminal prosecution
  • Civil liability
  • Immediate termination of Services

3.3 Indemnification

The Client agrees to indemnify and hold harmless Troll Tech Ltd, Troll Tech AI Solutions Ltd, their officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including legal fees) arising from:

  • The Client's breach of these Terms
  • The Client's violation of any laws or regulations
  • Any claims by End Users or third parties relating to the Client's use of the Services

4. Fees and Payment

  • Fees are as set out in the applicable service agreement or pricing schedule
  • All fees are exclusive of VAT unless stated otherwise
  • Payment terms are net 30 days unless otherwise agreed
  • Late payments may incur interest at 8% above the Bank of England base rate

5. Limitation of Liability

5.1 Exclusions

To the maximum extent permitted by law, neither Troll Tech Ltd nor Troll Tech AI Solutions Ltd shall be liable for:

  • Any indirect, consequential, or special damages
  • Loss of profits, revenue, or anticipated savings
  • Loss of business or business opportunities
  • Loss of goodwill or reputation
  • Lost or missed sales resulting from the use or inability to use the Services

5.2 Liability Cap

The total aggregate liability of Troll Tech Ltd and Troll Tech AI Solutions Ltd combined under these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client to the relevant company in the 12 months preceding the claim.

5.3 Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law

6. Data Protection

Both parties shall comply with their respective obligations under the UK GDPR and the Data Protection Act 2018. Our processing of personal data is governed by our Privacy Policy.

7. Intellectual Property

  • All intellectual property rights in the Services remain with the respective company (Troll Tech Ltd or Troll Tech AI Solutions Ltd)
  • The Client is granted a limited, non-exclusive licence to use the Services
  • The Client retains ownership of their data and content

8. Term and Termination

  • These Terms commence upon first use of the Services
  • Either party may terminate with 30 days written notice
  • We may terminate immediately for material breach
  • Termination does not affect accrued rights and obligations

9. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, or failure of third-party services.

10. General Provisions

10.1 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.

10.2 Amendments

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

10.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.4 No Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

10.5 Assignment

The Client may not assign or transfer these Terms without our prior written consent.

10.6 Third Party Rights

These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

10.7 Governing Law and Jurisdiction

These Terms are governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
